Registry Process

  1. REGISTRY PROCESS

Immediately upon the release and approval of the PDS (the Project´s Sustainable Development Plan) by the BMV Standard, IMEI will register all project documentation on the BTAAB / BMV environmental assets registry platform. UNESP will be responsible for documentation pertaining to the asset inventory, verifying that the data provided by the BMV Standard for the Verification Report is in absolute conformity. Based on this report, the serial number that explains the credit origin and project are issued, as are the specific Sustainability Credit Units - UCS.

BTAAB, with all the above-mentioned documentation in hands, calls for another international audit, as per ISO norms, and requests a report on the documents and inventories made, at which point it codes the Sustainability Credit Units with seals that corroborate the uniqueness and transferability, according to the rules of the UCS exchange system.

These Certificate Titles are still products of their origin, i.e. refer uniquely to each project area and activity within the BMV Project. Certificates of origin are then sent to be safe-kept within a structure suitable to the United Kingdom financial system, through a group of BMV partners in London, which perform the banking and legal regularisation of the UCS securities, through the custody and transaction versus-payment process (Escrow Service).

The role of Custodian and Transaction Facilitator (Escrow Services) is played by Julian Turnbull partner Shakespeare Martineau. This company has the consent of the English Financial System for safe-keeping and harbouring the exchange processes between BMV buyers and financial Partners, through the specialised services that it is authorized to provide, offering what is known as Full Escrow Facilities, under the supervision of Solicitor, Mr. Julian Turnbull.
 
Thereinafter, the UCS securities are under the guardianship of Julian Turnbull partner Shakespeare Martineau, which issues the respective custody documents, making the credits fully fit and ready to be traded within the UK Financial System, both in terms of legal and banking aspects. The function of Julian Turnbull partner Shakespeare Martineau is to ensure the quality, accountability and responsibility of both the values ??embedded in each UCS Title and the capital required for the mobilization to buy these securities.

Once the parties participating in the transaction process have been analysed, and received legal advice pertaining to the process, all in line with the local financial system rules and requirements, transfer documents (contracts) are issued, stating the exact needs and characteristics of the transaction, with security values ??and volumes of involved, as well as dates, bank names, guarantees and provisions of the process. Each transaction document also creates a certificate known as a Transaction Certificate, which in turn refers to the number of UCS traded, to their origin and characteristics as well as to the stage of maturity / transaction level (T1, T2. ..). These certificates are sent by the custody and guarantee process lawyers (escrow), who then authorise the simultaneous exchange of the transfer of ownership of the UCS Certificates and financial resources. The values ??are also temporarily held in a custody account, until the perfect process is achieved, and only then are the funds released to the care of the BMV partner and then transferred to the national partners, through BTAAB and its internal structure of dividend payouts, into each property owner account, association and / or project stakeholder, as previously established in contracts and projects.

To ensure full traceability of the titles, until the moment of the transaction, use and retirement (using the final neutralization capacity), there are four "status" levels or four maturity levels, including the initial and project stages, transaction and retirement (T1, T2, T3, T4). This brings transparency and credibility even to post-sale stages of the UCS, showing the characteristic of each title, its origin and its current state i.e. initial, traded, tradable and retired. 

Specifically as it relates to the retirement phase, this indicates that the current ownership of the UCS title has a directed purpose. It will be used in the neutralisation and stock compensation for social, environmental and financial effects, efficiency and processes. For this retirement phase to be completed, four distinct steps must be taken:

  1. The applicant must necessarily request that the retirement be performed by filling in the appropriate BMV application form on the BMV website;
  2. This request is sent to the owner of the title and / or custodian, to see if the title bearer has full possession and if the credits are authorised for retirement;
  3. The approved documentation is forwarded and the credtis are retired and the certificate is issued in its own specific way. This information is then made available to the public, and becomes easily accessible via the Internet;
  4. It is advised that the process be initiated and maintained by a Standard Sustainability and Sustainable Efficiency Certification, in order to identify and quantify the needs of applicants to compensate and neutralize their sustainability actions, making the whole process even more transparent and organised, and allowing the buyers of the titles to have specific certifications as a result of the UCS BMV Titles, and permitting that the entire chain know exactly when and how each emission was neutralised.

 

  1. SALES PROCESS

The process of purchasing titles begins by reaching out to stakeholders through the BMV website, or by contacting the Brazilian or international partnership network.

This structure will direct interested parties to contact the online computerised system which will provide an introduction to the BMV centres and project areas, presenting their key data and information. In this space, stakeholders will be able to access a knowledge base structure pertaining to the activities and work to be undertaken in each BMV project, and will be able to get a better understanding of how a sustainability compensation certification system operates, as well as access a calculator that will roughly measure the size of the company, event, etc.´s sustainable activity footprint.

The next step in the process is to complete the registration by filling in the online form whereby buyers identify areas in which they are interested in investing. Through this registration, buyers and customers have access to a more detailed UCS registry structure that provides details and documents of the origin of the Sustainability Credit Units, and will be able to easily analyse any purchase proposal or contract.

At the point when the Purchase and Sales contract is made, and in order to increase and guarantee the safety of the escrow process, as well the registry access, a series of documents will be required from buyers, so as to fulfill all the Brazilian or other local legislation where the transaction will take place.

After the approvals of both parties and the release by the custodians, and once the documentation and certificates are ready, the financial exchange occurs. With it, BTAAB Registry records the transfers of securities and performs any other necessary arrangements.
